And probably in a few minor ways, too...
They simply tried to stuff too much into it. Venom should have had a whole film to itself, rather than a tacked-on and half-assed sideplot.
The effects were fantastic, of course, and the Sandman was remarkably complex and sympathetic. I wasn't thrilled with how they handled Goblin Jr., but it made sense in terms of the trilogy's arc.
I enjoyed it, but it was the weakest of the three.
And you're right about the second film, by the way.

As Orrex said above - they put too much shit into one movie and Venom, the Sandman and Pete's relationship with MJ, Gwen Stacey and Harry Osborn all got short shrift.
if they got rid of Venom and saved that whole plot for a future film, it would have cleared up a bunch of clutter.
